Expertise

Andrew mostly works in commercial contracts, with particular expertise in dredging and related infrastructure projects, offshore construction, oil and gas and transport (shipping and aviation) sectors and reclamation projects. He has experience in managing major transactions and projects, legal teams, multiple stakeholders and complex documentation.

He has experience in the following:

• advising on the drafting, settling and interpretation of commercial contracts, including tender, plan & design, build, downstream procurement and charter hire;

• sale & purchase (including leasing), ship and aircraft finance;

• advising a sovereign State on the establishment of a ship registry (including drafting the enabling legislation), carrying out a feasibility study for a state body;

• corporate governance, having made presentations to supervisory and management Boards on continuing obligations in both Australian and English jurisdictions;

• advising directors (executive and non-executive) on their duties and obligations as directors;

• merger & acquisition transactions, due diligence advice and reporting, in particular with regard to specialist sectors such as shipping;

• drafting and settling joint venture and shareholder agreements, including joint operating agreements in upstream oil and gas;

• transaction structuring advice, corporate planning; and

• advising on standard form FIDIC (2000 & 2017 editions) and Australian Standard construction contracts.

• drafting subcontracts, charterparty, Employer Risk claims, concession agreements;

• liaising with local lawyers in connection with obstacle and cable risk, unexploded ordnance clearance contracts, Contractor claims, variations, Contractor proposals, and defects notification period matters;

Pluit Project

• advising in connection with the contract for the design and construction of Pluit City, Jakarta, dredging and land development, subcontracts, charters and working closely with Indonesian lawyers, on permits and licensing requirements, Contractor claims, suspension and termination matters;

Ichthys Project

• advising in connection with the pipe laying, rock loadout, shore approach and pipe pull;

Gorgon Project

• advising in connection with the contract for the dredging and design and construction of pioneer materials offloading facility as part of the Gorgon Project, Barrow Island LNG Plant, Western Australia.
