Andrew Johnstone is the principal at AJOH Consulting Pty Ltd. Having trained in the City of London and practised there for 20 years, he has been based in Perth, Western Australia since 2011. Andrew is admitted to practise as a Solicitor in both Australia and England & Wales.

Andrew specialises in advising on and interpreting commercial contracts, front-end construction law, corporate governance, director's obligations, due diligence and non-contentious transaction matters.

Areas of Practice

Commercial Contracts

Andrew has 25 years of experience in advising clients on the drafting and settling of commercial contracts, primarily in the oil and gas, offshore construction, shipping and dredging sectors.  

Directors

Advising directors, executive and non-executive, on their statutory legal obligations, in both Australian and English jurisdictions.

 

Construction

Andrew has advised on FIDIC yellow book (2000 & 2017 editions) and Australian Standard design and construct, as well as on other standard form contracts.

Corporate governance

Risk analysis and the use of a risk matrix. Andrew has made a number of presentations to Boards on the subject of good corporate governance, implementation and continuing obligations.

Shipping

Non-contentious shipping work, including vessel sale and purchase, ship finance and cruise ships, including acting on the sale and purchase of the businesses carried on by cruise lines. 

Structure advice

Corporate planning and investment structuring, corporate finance, asset finance and due diligence.
